利用規約（テクスチャ利用ライセンス）

本利用規約（以下「本規約」といいます）は、Bird fab studio株式会社（以下「当社」といいます）が提供するテクスチャデータ（以下「本データ」といいます）の利用条件を定めるものです。購入・利用により、本規約に同意したものとみなします。
1. ライセンスの付与
購入者は、本データを商用・非商用問わず利用できます。本データは、色変更・形状変更などの改変や、Vroid以外の仕様への利用も可能です。本データは、ゲーム・漫画・Vtuber配信等に組み込んで使用することができます。ただし、購入者以外が本データを直接ダウンロード・保存できる環境での配布は禁止します。クレジット表記は不要です。
2. 禁止事項
購入者は以下の行為を行ってはなりません。
本データそのもの、または改変したデータの再配布（無償・有償を問いません）本データの転売（データ単体としての販売）
本データをAI学習用素材として使用すること
購入者以外が本データを所有・保管可能となる形での提供
3. 例外条件
当社が運営する KIZI（https://kizi.digital）でのまとめ買い（個人プラン）に限り、当社が許可する形式での転売を認めます。
4. 知的財産権
本データの著作権は、Bird fab studio株式会社（KIZI_studio運営）に帰属します。当社は、知的財産権データベース（J-PlatPat）等で権利侵害がないことを確認済みです。
5. 返金・返品
デジタル商品の特性上、購入後の返金・返品には応じません。
6. 免責事項
購入者が本データを利用して制作・配信・販売等を行った結果発生した、第三者との紛争・損害・クレーム等について、当社は一切の責任を負いません。
購入者の利用環境や機器との互換性、動作保証はいたしません。
本データの利用に関して購入者が負った損害（間接損害・特別損害・逸失利益を含む）について、当社はその発生を予見し得た場合であっても責任を負いません。
7. その他
本データのサムネイルは同封していません。ギフト購入は可能です。
本規約は予告なく改定される場合があります。最新の規約は当社ウェブサイトに掲載します。
8. 準拠法・合意管轄
本規約は日本法に準拠し解釈されます。
本データに関して訴訟の必要が生じた場合は、当社本店所在地を管轄する日本の裁判所を第一審の専属的合意管轄裁判所とします。
Terms of Use (Texture Usage License)

These Terms of Use (“Terms”) set forth the conditions for the use of texture data (“Data”) provided by Bird fab studio Inc. (“Company”). By purchasing or using the Data, you are deemed to have agreed to these Terms.
1. Grant of License
Purchasers are granted the right to use the Data for commercial and non-commercial purposes.
Modifications to the Data, including color changes, shape alterations, and use outside of Vroid specifications, are permitted.
The Data may be incorporated into games, comics, VTuber streams, and other works.
However, distribution in environments where anyone other than the purchaser can directly download or save the Data is prohibited.
No credit attribution is required.
2. Prohibited Uses
The purchaser must not:
Redistribute the Data, whether in its original or modified form, for free or for a fee.
Resell the Data as a standalone product.
Use the Data as training material for AI or machine learning.
Provide the Data in any manner that allows non-purchasers to own or store it.
3. Exceptions
Resale is permitted only under the Company’s “KIZI” service (https://kizi.digital) in the case of bulk purchases under the individual plan, and only in the format authorized by the Company.
4. Intellectual Property Rights
Copyright in the Data belongs to Bird fab studio Inc. (operator of KIZI_studio).
The Company has confirmed that the Data does not infringe third-party rights, based on searches in intellectual property databases such as J-PlatPat.
5. Refunds and Returns
Due to the nature of digital products, refunds or returns will not be accepted after purchase.
6. Disclaimer of Liability
The Company shall not be held liable for any disputes, damages, or claims with third parties arising from the purchaser’s use of the Data, including but not limited to creation, distribution, or sale of works.
The Company makes no warranties regarding compatibility or operation with the purchaser’s environment or devices.
The Company shall not be liable for any damages (including indirect, special, incidental, or consequential damages, or loss of profits) arising from the use of the Data, even if such damages were foreseeable.
7. Miscellaneous
Thumbnail images are not included with the Data.
Gift purchases are allowed.
These Terms may be updated without prior notice. The latest version will be posted on the Company’s website.
8. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Japan.
Any disputes arising in connection with the Data shall be subject to the exclusive jurisdiction of the courts located in the Company’s principal place of business in Japan as the court of first instance.
